These "Registered Agent Service Terms" apply when an individual authorized ("IA") to act on behalf of a "Business Entity" purchases "Registered Agent Services" from Company Sage. The IA agrees that Company Sage provides Registered Agent Services exclusively to "Business Entities," not to the Business Entity’s members, managers, shareholders, directors, officers, employees, agents, or individuals and that any and all actions arising out of or in connection with Registered Agent Services must be initiated by the Business Entity receiving the Registered Agent Services.

1. Scope of Service

If we are properly appointed by an IA as registered agent for a Business Entity in a jurisdiction, we will receive service of process and other official documents addressed to the Business Entity and make all received items available to the IA through one or more of the contact methods the IA provided to Company Sage or through the Business Entity’s client portal.

By accepting these Registered Agent Service Terms and requesting business filing services or other related Company Sage services that involve filing paperwork with a government entity, the IA authorizes Company Sage to take all the necessary steps to form the Business Entity or complete the appropriate change of registered agent filing service in the requested state. Such steps may include, but are not limited to: (i) listing the IA, another authorized representative appointed by the Business Entity, or a Company Sage representative as the organizer, incorporator, or authorized representative of the Business Entity; (ii) affixing the IA’s signature, the signature of the authorized representative appointed by the Business Entity, or a Company Sage representative's signature as an authorized representative of the Business Entity, to the paperwork that needs to be filed, in any format, including but not limited to handwritten signatures and electronic signatures; (iii) completing business filing documents on the IA’s or Business Entity’s behalf; (iv) filing formation documents on the IA’s behalf; and (v) removing Company Sage as the organizer, incorporator, authorized representative, or registered agent of the Business Entity.

You acknowledge and agree that Company Sage does or may work with third-party providers and sub-providers of our choice to provide some or all of the Registered Agent Services. You acknowledge and agree that any such third party authorized by state law to provide Registered Agent Services may provide Registered Agent Services to the Business Entity.

2. Business Entity and IA Responsibilities

The Business Entity and IA must:

  • keep current and accurate contact information in the Business Entity client portal;
  • maintain a valid email address and, where applicable, mailing address in the Business Entity client portal;
  • monitor the email address provided and the client portal for communications from Company Sage;
  • respond to legal documents and deadlines;
  • maintain any entity information required by applicable law; and
  • appoint a replacement registered agent if Registered Agent Services are terminated.

The Business Entity and its representatives remain solely responsible for responding to service of process, legal notices, lawsuits, state correspondence, annual reports, taxes, and compliance obligations.

3. Virtual Office Services

Company Sage may offer Virtual Office services designed to provide a professional business presence without the need to lease and manage a physical office. These services are intended to help Business Entities maintain privacy, receive and manage business correspondence, and present a professional address for business purposes.

Included Features (as described in the selected plan)

Depending on the selected plan and jurisdiction (e.g., Wyoming offerings), Virtual Office services may include:

  • a commercial business address with a unique suite number;
  • a lease or address-use agreement that may be used as proof of address where accepted;
  • mail receipt, scanning, and secure online access to scanned mail;
  • mail forwarding at cost (where selected);
  • a local phone number (e.g., Wyoming 307 number) with forwarding or VOIP capability;
  • coordination with Registered Agent Services where required; and
  • optional onboarding to third-party services (e.g., business banking setup assistance where available).

Dependency on Registered Agent Services: In certain jurisdictions or plans, Virtual Office and mail services may require that Company Sage (or its partner) serves as your Registered Agent. If Registered Agent Services are terminated, Virtual Office or mail services may also be modified or discontinued as described in the selected plan.

Professional Address, Privacy, and Use

Virtual Office services are designed to provide:

  • a professional, public-facing business address;
  • increased privacy by avoiding use of personal or home address in public records; and
  • improved presentation to customers, vendors, and partners.

The Business Entity, IA, and all representatives agree to use the address in compliance with applicable laws, postal regulations, and third-party requirements. The Business Entity remains responsible for ensuring that use of the address satisfies any legal requirements for the Business Entity’s activities.

Lease/Address Agreement

Where provided, a lease or address-use agreement may be used for business purposes (e.g., banking or vendor onboarding) where accepted. Company Sage does not guarantee that any third party (including banks) will accept such documentation.

Phone Number Services

Where included, local phone number services (e.g., a Wyoming 307 number) may allow call forwarding or use through a VOIP application. Availability and functionality may depend on third-party providers.

Compliance Responsibility

The Business Entity, IA, and representatives remain responsible for:

  • maintaining accurate business records and filings;
  • updating address records with government agencies, banks, and counterparties;
  • complying with postal, regulatory, and business requirements; and
  • monitoring the Business Entity’s client portal and responding to communications.

Limitations and Disclaimers

Virtual Office services:

  • do not create a landlord-tenant relationship or physical office occupancy;
  • do not guarantee legal presence, nexus, or tax treatment in any jurisdiction;
  • are not intended for personal mail unless expressly permitted;
  • may be subject to plan-specific limits and acceptable use requirements; and
  • may be modified, suspended, or discontinued in accordance with these Registered Agent Service Terms and applicable law.

4. Mail Handling

So long as Company Sage is serving as Registered Agent for a Business Entity, the IA authorizes Company Sage to accept, open, review, and determine in its sole and unreviewable discretion whether such mail is "junk" mail or other mail and then scan, forward, shred, and/or deposit in the Business Entity’s client portal such mail as an authorized representative of the Business Entity.

We receive and process mail on the Business Entity’s behalf and offer forwarding services only. We do not provide physical retrieval or on-site pickup of mail or packages.

In addition, the Business Entity authorizes Company Sage, to the extent permitted by law and necessary to provide the service, to do the following:

  • receive mail and deliveries addressed to the Business Entity;
  • open, review, and scan mail;
  • upload scanned documents to the Business Entity’s client portal;
  • forward mail to a designated address (postage and shipping at cost unless otherwise stated);
  • hold mail and packages in accordance with the retention periods set forth below;
  • return, recycle, destroy, or otherwise dispose of items received in accordance with the selected plan and our operational procedures; and
  • determine, in our reasonable discretion, whether items fall within the scope of the service (e.g., service of process, official notices, general business mail, promotional or unrelated items).

We may decline to accept, process, or store items that violate applicable law, exceed plan limits, present safety or compliance risks, or are outside the scope of the services described above.

Mail Retention and Disposal

Standard mail (letters) will be held for up to thirty (30) days from the date of receipt, after which it may be securely destroyed if not forwarded. Packages will be held for up to fifteen (15) days from the date of receipt, after which they may be discarded or otherwise disposed of at our discretion if not forwarded.

Mail Volume, Fees, and Processing

  • Plans may include unlimited scanning where specified; otherwise, limits may apply;
  • Physical forwarding is typically charged at cost unless otherwise disclosed;
  • Excess volume, special handling, storage, or reprocessing may incur additional fees as disclosed in the plan selected; and
  • We do not charge separate handling fees for standard scanning where the plan selected includes unlimited scanning; however, other fees may apply as disclosed.

5. Exclusions

Unless expressly stated in your order, Registered Agent Services do not include:

  • legal advice or legal representation;
  • responding to lawsuits or government notices on behalf of the Business Entity;
  • filing annual reports, amendments, resignations, or tax returns;
  • serving as the principal place of business of the Business Entity; or
  • receiving personal mail unrelated to the covered company.

6. Service Delivery

We will use commercially reasonable efforts to promptly notify designated representatives of the Business Entity after receiving covered documents. Delivery times may vary based on office closures, carrier delays, technical issues, or document conditions.

7. Renewal and Cancellation

Registered Agent Services may be offered on a recurring monthly or annual basis. Renewal timing, fees, notice periods, and cancellation instructions will be disclosed during checkout and in the Business Entity’s client portal. Unless prohibited by law, cancellation is effective at the end of the paid term unless we expressly agree otherwise.

Termination of service does not by itself update state records. The Business Entity is responsible for appointing a replacement registered agent and filing any required state forms.

8. Resignation

Where permitted by law, we may resign as Registered Agent by following the applicable statutory process. The Business Entity remains responsible for any government fees or compliance obligations related to changing the Business Entity’s Registered Agent.

Reasons for termination may include: (1) the Business Entity’s failure to provide accurate, complete, and current information as requested or required by Company Sage; (2) our inability to locate the Business Entity’s designated representative after reasonable and diligent efforts are made; (3) the Business Entity’s failure to pay for services provided by Company Sage; (4) suspected illegal activity by the Business Entity; or (5) any other lawful reason.

Registered Agent Resignation and Mail Handling

Upon resignation as registered agent and the filing of such resignation on the public record, Company Sage will no longer accept responsibility for mail or service of process on behalf of the Business Entity.

Effective upon resignation:

  • Company Sage may, at its sole discretion, accept, refuse, return, process, or dispose of any mail received at any Company Sage–governed office location. To the extent any mail is accepted, it may be processed and made available for a limited period, subject to your account status and available scan/upload credits. Company Sage does not guarantee the acceptance, refusal, return, retention, or processing of any mail following resignation.
  • Access to Mail: If the Business Entity’s scan/upload allotment is exhausted or the applicable service is inactive, mail may continue to be received and scanned; however, such items will not be uploaded or accessible in the Business Entity’s client portal.

The Business Entity is solely responsible for ensuring that all senders are promptly notified of a change in registered agent and mailing address. The Business Entity must immediately cease directing mail to our office and update all records to reflect the current Registered Agent or an alternate address.

The Business Entity acknowledges that we are not liable for any loss, delay, or mishandling of mail received after the effective date of our resignation.

Registered Agent Resignation and Service of Process

Upon filing a resignation as registered agent, the Business Entity acknowledges that a statutory processing period may apply before the resignation becomes effective and Company Sage’s name as designated registered agent is removed from the applicable state’s public records.

During this interim period:

  • Agent of Record Status: Company Sage shall remain the Registered Agent of record as reflected with the Secretary of State (or equivalent governing authority) and will continue to fulfill all obligations required of a Registered Agent, including the acceptance of service of process.
  • Acceptance of Service of Process: Company Sage will accept service of process documents when Company Sage is identified as the registered agent or recipient, or when Company Sage is served as the receiving party, including in matters relating to entities Company Sage previously represented, where service is directed to Company Sage.
  • Verification and Rejection: If service of process documents identify only the IA or the Business Entity as the recipient, we will verify the current registered agent using Secretary of State records. If we are no longer listed as the registered agent of record at the time of verification, we will reject such service.
  • Reliance on Public Record: Company Sage relies exclusively on the Secretary of State (or equivalent authority) records to determine registered agent status. Until the resignation is reflected in such public records, Company Sage may be deemed the registered agent of record and will act accordingly.
  • Termination of Obligations: Company Sage’s obligation to accept service of process on behalf of the Business Entity terminates upon the effective removal of Company Sage as registered agent from the state’s official public record.

The Business Entity is responsible for ensuring timely appointment of a new registered agent and updating all relevant records. The Business Entity acknowledges that we are not liable for any consequences arising from delays in updating the Business Entity’s registered agent information with the state or third parties.

9. Limitation

We are not responsible for losses caused by inaccurate account information, or the Business Entity’s, IA’s, or Business Entity representative’s failure to monitor communications, respond to documents or deadlines, meet government filing deadlines, or for any circumstances outside our reasonable control.
